1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the CorexOS® platform and services provided by Why Inc. ("we," "our," or "us"), accessible at www.y-corex.com. By accessing or using CorexOS®, you agree to be bound by these Terms. If you do not agree, you may not use the platform.

2. Description of Service

CorexOS® is a comprehensive enterprise resource planning (ERP) platform powered by the Aurevia® Engine. The platform provides business management tools including but not limited to accounting, CRM, inventory management, manufacturing, HR & payroll, project management, and custom application development capabilities.

3. Account Registration

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are solely responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

• •Use the platform for any unlawful purpose or in violation of any applicable laws or regulations.
• •Attempt to gain unauthorized access to any portion of the platform, other accounts, or computer systems or networks.
• •Interfere with or disrupt the integrity or performance of the platform or its components.
• •Reverse engineer, decompile, or disassemble any portion of the platform except as permitted by applicable law.
• •Transmit any malicious code, viruses, or other harmful content through the platform.
• •Use automated systems (bots, scrapers) to access the platform without our prior written consent.

5. Intellectual Property

The CorexOS® platform, including its source code, design, logos, trademarks ("CorexOS®" and "Aurevia®"), documentation, and all related intellectual property, is owned by Why Inc. and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the platform in accordance with these Terms.

6. Data Ownership

You retain full ownership of all data you input into the CorexOS® platform ("Your Data"). We do not claim any ownership rights over Your Data. We will not access, use, or disclose Your Data except as necessary to provide the service, comply with the law, or as otherwise described in our Privacy Policy. You may export or request deletion of Your Data at any time.

7. Service Availability & Modifications

We strive to maintain high availability of the CorexOS® platform but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any part of the service at any time, with reasonable notice where practicable. We may also release updates, patches, and new versions of the platform which may modify existing features.

8. Payment Terms

If you subscribe to paid features or services, you agree to pay all applicable fees as described at the time of purchase. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with 30 days' advance notice. Failure to pay may result in suspension or termination of your access.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Why Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising out of or in connection with your use of CorexOS®. Our total aggregate liability shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

CorexOS® is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will meet your specific requirements or that it will be error-free.

11. Indemnification

You agree to indemnify, defend, and hold harmless Why Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of your use of the platform, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may terminate or suspend your access to CorexOS® at any time, with or without cause, upon reasonable notice. Upon termination, your right to use the platform ceases immediately. You may request an export of Your Data within 30 days of termination. Provisions of these Terms that by their nature should survive termination shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Tokyo, Japan.

14. Changes to Terms

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of CorexOS® after changes constitutes acceptance of the revised Terms.
